01. General provisions
1.1 These Terms and Conditions (“Terms”) govern purchases made through the AGEM LABS online store (“Store”) and the rights and obligations of the seller (“Seller”) and the customer (“Buyer”).
1.2 A “Consumer” is a natural person acting outside their trade, business or profession, as defined by applicable law. Mandatory consumer protections remain applicable irrespective of these Terms.
1.3 AGEM LABS is the name used to identify the Store. It does not represent that the Seller is a healthcare provider, pharmacy or licensed medical professional.
1.4 Buyers must be at least 18 years old. Orders may be declined where age, eligibility or lawful use cannot reasonably be established.
02. Orders and conclusion of contract
2.1 The Buyer may place an order through the Store by selecting products, entering the required delivery and contact information and submitting the checkout form.
2.2 Before placing an order, the Buyer can review the products, quantities, delivery charges and total amount payable and correct any input errors.
2.3 By placing an order, the Buyer submits an offer to purchase the selected products with an obligation to pay. An automated acknowledgement confirms receipt of the order. The Seller will communicate whether the order has been accepted.
2.4 The Seller may reject an order where fulfillment would be unlawful, the product is unavailable, payment cannot be verified or there is reasonable evidence of fraud. Any payment received for a rejected order will be refunded as required by law.
03. Prices and payment
3.1 Product prices are displayed in EUR. Applicable taxes and mandatory charges are shown before the Buyer submits an order.
3.2 Delivery charges, where applicable, are displayed before the order is submitted.
3.3 The Store currently offers payment by bank transfer. The Buyer receives the payment amount, beneficiary details, IBAN and an order-specific payment reference in the order confirmation. A SEPA payment QR code may be provided for convenience.
3.4 The Buyer must verify the beneficiary and payment details before authorizing a transfer. An order will normally be dispatched only after payment has been received, unless otherwise expressly agreed.
04. Shipping and delivery
4.1 Available delivery destinations, methods, costs and estimated delivery times are communicated during checkout or before the Buyer becomes bound by the order.
4.2 Delivery estimates may vary because of carrier operations, customs checks or other circumstances. Any mandatory statutory delivery deadlines and remedies remain unaffected.
4.3 Products will only be shipped to destinations where their sale, import and delivery are lawful. Applicable export, import and product regulations must be observed.
4.4 The allocation of risk of loss or damage during transport is governed by mandatory applicable law.
05. Right of withdrawal and returns
5.1 Where applicable consumer law grants a right to withdraw from a distance contract, a Consumer generally has 14 days after receiving the goods to notify the Seller of withdrawal, without giving a reason, subject to statutory exceptions.
5.2 To exercise this right, the Consumer must send a clear withdrawal statement using the contact details provided on the Store’s Contact page. The Consumer may identify the order number to help process the request.
5.3 The Consumer must return the goods within the statutory period after notifying withdrawal. Responsibility for return shipping costs depends on the information provided before purchase and applicable law.
5.4 Refunds, including any applicable standard delivery charges, will be made within the time and by the method required by law. Where permitted, the Seller may withhold the refund until goods are received or evidence of return is provided.
5.5 Opening packaging does not automatically eliminate statutory withdrawal rights. Exceptions, including any applicable exception for sealed goods unsuitable for return for health-protection or hygiene reasons after unsealing, apply only where all legal conditions are met.
5.6 This section does not limit rights relating to defective, damaged or incorrectly supplied products.
06. Complaints and defective products
6.1 The Buyer should notify the Seller if products arrive damaged, are missing or do not conform to the contract, preferably including the order number and a description of the issue.
6.2 The Seller will handle complaints and provide remedies in accordance with applicable mandatory consumer and sales law. Statutory rights cannot be excluded or reduced by these Terms.
07. Research use only
7.1 Products described as research materials are offered only for lawful research, analytical, educational or scientific purposes consistent with their actual legal classification and any applicable restrictions.
7.2 Such products are not represented as medicines, food supplements or products intended for human or animal consumption, injection, inhalation, therapeutic treatment or clinical use unless specifically authorized and lawfully marketed for those purposes.
7.3 No content on the Store constitutes medical, pharmaceutical or therapeutic advice. Buyers should consult qualified professionals regarding health-related matters.
7.4 The “Research Use Only” label does not itself determine legal status or authorize sale, import, advertising or possession. The Seller and Buyer must each comply with their applicable legal obligations.
08. Liability
8.1 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including mandatory consumer rights.
8.2 The Seller is not responsible for losses arising solely from the Buyer's unlawful or unauthorized use of a product, except where the Seller is liable under applicable law.
8.3 Any limitation of liability is effective only to the extent permitted by applicable law.
09. Personal data
9.1 Personal data supplied in connection with orders is processed for purposes such as order administration, payment processing, delivery, customer service and legal compliance, in accordance with applicable data protection law.
10. Final provisions
10.1 These Terms may be updated from time to time. The version applicable to an order is generally the version presented when the order is placed, subject to mandatory law.
